Effective as of January 2025 ## Terms of Use Any use of the Apps implies full and unconditional acceptance by the User of these Terms of Use. --- ## Section 1. Preamble These general conditions of use (hereinafter ” CGU ”) are concluded between, on the one hand, the company DELOS INTELLIGENCE, a simplified joint stock company (SAS) with share capital of €6,372.00, registered with the Paris Trade and Companies Register under number 977 575 612 and whose registered office is located at 149 Avenue du Maine (hereinafter ”DELOS INTELLIGENCE ”) and the User on the other hand (hereinafter collectively referred to as the” Parties ”). The purpose of the CGU is to set out the contractual provisions relating to the respective rights and obligations of the Parties in the context of the use of the applications of the DELOS suite published and operated by DELOS INTELLIGENCE accessible at the following address: delos.so (hereinafter the” DELOS Suite ” or the” Apps ”). --- ## Section 2. Definitions For the purposes of these CGU, the terms will have the following meaning: - **Administrator**: An Authorized User who has been appointed by DELOS INTELLIGENCE and/or the Customer to grant access to the web portal to benefit from the Applications and Services in accordance with the Contract concluded between DELOS INTELLIGENCE and the Customer. - **Anomaly**: Any non-conformity or defect in design, production, performance, bug, error in one of the elements composing an Application. - **Apps** or **The DELOS Suite**: Various applications of the Delos Suite, including Delos Assistant, Delos Explore, Delos Scribe, among others. - **Customer**: Any person who guarantees to be a professional, subscribing to one of the paid subscriptions offered by DELOS INTELLIGENCE. - **General conditions of use** or **CGU**: Present contractual conditions governing the use of the Delos Suite by any User. - **Contents**: All brands, logos, software solutions, text, and other content published by DELOS INTELLIGENCE attached to the web portal. - **Account**: Interface on the web portal where User data is grouped to access Services. - **Data**: Information provided by the Customer in connection with the use of the Services. - **Identifiers**: Email address of the Customer or Authorized User and password generated by them. - **Confidential information**: All financial, legal, technical, commercial information shared under the Terms of Use. - **Services**: Services offered by DELOS INTELLIGENCE to the Customer according to the Subscribed Offer. --- ## Section 3. Acceptance of the CGU The use of the functionalities of the Applications and Services implies the acceptance of these Terms and Conditions. The User undertakes to read the CGU carefully when accessing the web portal. --- ## Section 4. Technical specifications Access to the Services requires the following technical requirements: - Internet access; - Recent versions of browsers like Google Chrome, Mozilla Firefox, Microsoft Edge. --- ## Section 5. Access and registration conditions Any User may access the web portal, use the Applications and benefit from the Services provided they have been authorized to do so by an Administrator and have created an Account. - **Authorization as an Administrator**: The Customer can authorize themselves as an Administrator, creating a first Administrator account. - **Registration as a User**: Any User wishing access must create an Account to use the Applications. Registration is free, and the User must provide accurate data. - **Identifier Management**: The User is responsible for their Identifiers and must notify DELOS INTELLIGENCE in case of loss or unauthorized use. - **Unsubscribe**: The User can close their Account at any time by emailing contact@delosintelligence.fr. --- ## Section 6. Services 6.1 The functionalities of the Applications and Services vary depending on the Offer subscribed. 6.2 The **Paid Student Offer** is reserved for students with proof of status, allowing reduced use of Services under specific conditions. 6.3 There is **no right of withdrawal** for online subscriptions as per the Consumer Code. --- ## Section 7. Obligation of the Parties ### 7.1 User Obligations Each User must: - Behave fairly and reasonably towards DELOS INTELLIGENCE and comply with laws. - Use Applications as intended, respecting privacy and intellectual property rights. ### 7.2 DELOS INTELLIGENCE Obligations DELOS INTELLIGENCE commits to ensuring continuity of access to the web portal, providing clear information on methods of intervention. --- ## Section 8. Responsibility DELOS INTELLIGENCE is not responsible for: - Temporary inaccessibility for technical reasons. - Abnormal use or illegal exploitation of the Delos Suite. --- ## Section 9. Force majeure DELOS INTELLIGENCE is not liable for non-performance due to force majeure events. --- ## Section 10. Intellectual property Acceptance of these Terms acknowledges DELOS INTELLIGENCE's intellectual property rights regarding the Delos Platform and its Contents. Reproduction without authorization is prohibited. --- ## Section 11. Personal data The processing policy of personal data by DELOS INTELLIGENCE is detailed in the web portal Privacy Policy. --- ## Section 12. User service/contact point Questions or complaints can be communicated electronically to contact@delosintelligence.fr. --- ## Section 13. Validity of the CGU If provisions are declared void, other clauses will remain valid. --- ## Section 14. Modification of the T&Cs CGU may be modified and updated, and Users will be notified of changes. --- ## Section 15. General provisions Failure to enforce any clause by a Party shall not be considered as a waiver of that clause. ---
